These Terms apply to all Site users and may be changed occasionally at OKVEGAN’s sole discretion. You agree that your use of the Site always will be subject to the most current version of these Terms at the time of such use. If you disagree with and accept these Terms, you may not use this Site.

These Terms constitute a binding legal contract between you and OKVEGAN, which sets forth your rights and obligations concerning the Site, including important prohibitions, limitations, and exclusions. In addition to these Terms, your site use is subject to the OKVEGAN Online Privacy Statement (“Privacy Statement”). By using this Site, you acknowledge that you have read and understood these Terms and the Privacy Statement, are over 18 years of age, and expressly agree to be bound by the terms and conditions herein as of the date of your use. Your use of the Site is always subject to these Terms.

Exclusivity to this Site, Lack of Guarantees for Other Sites, Etc.

OKVEGAN, its affiliated partners, and third parties may have other terms of use and privacy policies governing their products and services and information collected via their or other websites. To enhance OKVEGAN's benefits, some affiliate companies and/or third-party websites or resources may be linked to or embedded in the Site (“Other Sites”). These Other Sites may have their own governing terms of use and privacy policies, which OKVEGAN does not control and are not addressed by these Terms.

OKVEGAN does not monitor, endorse or guarantee and assumes no responsibility for Other Sites and their availability; the accuracy of Other Sites’ links; the products and/or services featured on Other Sites; the availability, pricing, or discounts of products and/or services on Other Sites, or the quality or timeliness of services you receive on other sites. Additionally, OKVEGAN does not control, monitor, endorse, or guarantee and assumes no responsibility for any transactions you may undertake through Other Sites, including the use, handling, processing, or security of any information you may provide in connection with your use of, or any purchase(s) made, on Other Sites, including any associated cookies, subsequent tracking or marketing, whether by Other Site vendors, their third-party service providers, Internet browser services or otherwise. OKVEGAN does not control, monitor, endorse or guarantee and assumes no responsibility for images, videos, descriptions, reviews, ratings, prices, and inventory and availability information you may receive from Other Sites.

OKVEGAN CANNOT AND DOES NOT GUARANTEE, REPRESENT, OR WARRANT CONTENT CONTAINED IN OR PROVIDED BY OTHER SITES, INCLUDING OTHER LINKS, IS ACCURATE, LEGAL, OR INOFFENSIVE. OKVEGAN IS NOT RESPONSIBLE FOR THE ACCURACY OF OTHER PARTIES’ DATA, THE ACTIONS OR OMISSIONS OF OTHER PARTIES, AND HAS NO LIABILITY FOR OTHER SITES’ FAILURE TO PERFORM OR ANY ERRORS OR OMISSIONS IN ANY INFORMATION PROVIDED ON OR BY OTHER SITES. OKVEGAN DISCLAIMS ANY AND ALL LIABILITY FOR, OR IN CONNECTION WITH, ANY TRANSACTION, PURCHASE, OR OTHER ACTIVITY, INCLUDING YOUR PROVISION OF ANY RELATED DATA OR INFORMATION AND ITS SECURITY RELATED TO YOUR USE OF OTHER SITES.

It would be best if you verified the accuracy of any third-party information provided by Other Sites on your own. If you have a specific dispute or concern related to the content, product, or services of another Site, including availability, pricing, or applicable discounts, you should contact the Other Site and not OKVEGAN.

By using the Site and purchasing products and/or services from vendors participating in OKVEGAN, you understand and agree that such vendors may share information with OKVEGAN regarding your purchase of products and/or services featured in connection OKVEGAN. Such information sharing is intended to enhance the quality and utility of OKVEGAN.

Accessing the Site

This Site is intended for use only by individuals within the United States, as authorized by OKVEGAN (Authorized Users). Only Authorized Users are permitted to access, view, and use this Site. Others are not allowed to use, view, or otherwise access this Site without their own username and password and OKVEGAN’s prior authorization.

You are responsible for all activity associated with your user account, username, and password. You agree to keep your username, password, and any other security or access information provided to you by OKVEGAN confidential, to prevent unauthorized access to or use of your user account and the Site, and to accept responsibility for all activity, postings made, comments, charges, and damages that occur under your account, to the fullest extent permitted by law. If you believe the security of your username, password or account has been compromised; you agree to notify OKVEGAN immediately.

OKVEGAN will not be responsible for any loss or damage resulting from your failure to notify OKVEGAN of the unauthorized use, loss, or damage you may incur due to someone else using your username, password, or account, either with or without your knowledge.

Some aspects, contents, or functions of the Site may not be available on all devices, browsers, or geographic locations. Mobile users acknowledge that your wireless provider may charge for your use of this Site, including but not limited to charges for data transmission. OKVEGAN does not charge these fees, and you should contact your wireless provider to determine what fees, if any, will be charged.

Content

The Site may include a semi-public forum. Do not post sensitive personal or financial information or anything you do not wish to be made public on the Site (e.g., your full name or contact information). You alone are responsible for what you post on the Site, and your content cannot always be withdrawn. You assume all risks associated with your postings, including any disclosure by you of information that makes you personally identifiable.

You must own or have licensed the content of your posts. By posting any content on the Site, you represent and warrant that: (1) the content is original and accurate; (2) you own the content (or have licensed it from others), and your posting of the content does not violate any laws, including any right of ownership, publicity, right of privacy, confidentiality or any other contractual or proprietary right, including patent, trademark, copyright, and trade secret rights, (3) you have the right to grant OKVEGAN the License to the content posted, and (4) the content posted on the Site is not confidential information belonging to you or anyone else.

You understand and agree that OKVEGAN, in its sole discretion, may remove, in whole or in part, any content you may post on the Site. You further understand and agree that by posting content on the Site, you hereby grant OKVEGAN a perpetual, irrevocable, royalty-free, and transferable right to store, use, reproduce, disclose, modify, publish, distribute, exhibit, display, transform, copy, and create derivative works from such content, without notifying you or getting your permission (the “License”). OKVEGAN shall be free to use any ideas, concepts, know-how, or techniques contained in the content you post for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products and services that may incorporate your content.

Removal of Postings and Posting Requirements

OKVEGAN does not endorse and may not review or verify Site content, including any postings, claims, or opinions about OKVEGAN, vendors participating in OKVEGAN, any vendor products or services, or otherwise. OKVEGAN may but is not obligated to remove or edit spam, sensitive personal information, inappropriate links or images, threatening defamatory, profane, obscene, or abusive material, or content posted on the Site that suggests illegal activity. OKVEGAN does not endorse third-party links that appear on the Site. If you click a link and are taken to a non-OKVEGAN website, you will be exposed to content that OKVEGAN does not own or control.

The following behaviors are unacceptable and may result in content removal or your being banned from either using the Site or from participating in OKVEGAN:

Posting links to irrelevant, offensive, spam-related, mean, unhelpful, or misleading third-party content;
Posting excessive promotion or marketing;
Posting content that violates the law, including intellectual property protections;
Posting messages that are unconstructive or not in line with the purpose of the Site;
Posting messages that contain offensive language, personal attack or are trolling in nature;
Posting messages that contain false or misleading information;
Posting duplicate messages, spam, advertisements, or off-topic subject matter.
Posting, publishing, sharing, or otherwise improperly using any OKVEGAN coupon or promotion codes, including sharing of OKVEGAN benefits with others (whether by sharing of username(s), password(s), OKVEGAN-related links, etc.)

Terminating Your Account and Restricting Site Access

OKVEGAN may, at its sole discretion, cancel, suspend or terminate your account at any time for any reason without prior notice to you. OKVEGAN may also restrict or terminate your access to the Site at any time and for any or no reason without prior notice to you. This may include but is not limited to, automated access restrictions based on inappropriate or illegal account postings or account inactivity, including posting, publishing, sharing, or otherwise improperly using any OKVEGAN coupon or promotion codes, including sharing of OKVEGAN benefits with others (whether by sharing of username(s), password(s), OKVEGAN-related links, etc.). The following acts will lead to cancellation and termination of your account and/or access to the Site: (1) violation of this Agreement; (2) request by a government agency; (3) technical issues; (4) extended inactivity; (5) upgrades to, modifications to, or termination of OKVEGAN; and (6) using the Site to promote or sell your products and services; (7) using an internet bot for spam or other improper purposes; (8) posting, publishing, sharing or otherwise improperly using any OKVEGAN coupon or promotion codes, including sharing of OKVEGAN benefits with others (whether by sharing of username(s), password(s), OKVEGAN-related links, etc.)

User Representations, Warranties, and Covenants

By accessing this Site, you represent, warrant, and covenant to OKVEGAN that:

You will comply at all times with all applicable federal, state, and local laws, rules, and regulations in your use of the Site and/or your use or disclosure of any data, information, or materials you post or receive through the Site;
You will only use the Site for individual purposes, including personal, family, or household purposes;
You will not use the Site for any purpose which is improper, unlawful, abusive, harassing, libelous, defamatory, obscene or threatening, or which violates these Terms or the terms of any other Agreement;
You will not resell any products or services purchased from vendors participating in OKVEGAN, whether purchases are made via links to vendor sites featured by OKVEGAN on the Site or otherwise;
You will not, nor will you permit any other person, corporation or entity, without the prior written consent of OKVEGAN to (i) copy, duplicate, or grant permission to the Site or any part thereof; (ii) create, attempt to create, or grant permission to the source program and/or object program or code associated with any software component of the Site; (iii) assign, sublicense, rent, timeshare, loan, lease or otherwise transfer the Site or directly or indirectly permit any third party to use the Site; (iv) decompile or disassemble any software or other component of the Site or any report or document generated therefrom; (v) engage in any reverse engineering; (vi) modify, alter or delete any of the copyright notices embedded in or affixed to the copies of any components of the Site; (vii) export any application provided hereunder or any portion of the Site, or access the Site from outside the United States; or (viii) use OKVEGAN’s name, URL, trademarks, server, or other materials in connection with or to transmit, any “spam.” For these Terms, “spam” has a meaning generally understood among Internet users;
Any transmission of data from your computer equipment or system will be free from (i) intentionally injurious instructions (e.g. “viruses”) that are designed to modify, damage, delete or disable the Site or any applications thereon; (ii) any hidden passwords that permit unauthorized access to the data or the Site, or (iii) any embedded code that could trigger, shut down, or disable the Site or its Authorized Users;
You own, have licensed, or are otherwise authorized to submit the content of any postings you make on the Site and have obtained all necessary licenses, releases, and consents to grant the rights set forth herein;
- You shall have all regulatory approvals, authorizations, licenses, permits, and other permissions, consents, and authorities whatsoever needed, if any, to use the Site and perform your obligations hereunder;
You understand that the Site and its content are provided for informational purposes only for use in your ordinary course of business, and you agree you will not show or display to any unauthorized person (including any customer or consumer) in printed form or any other manner, any information on or related to the Site.
You will not use the Site to market, sell or otherwise promote your products or services; or use the Site to market, sell, or otherwise promote the products or services of any other party if you are being compensated, directly or indirectly, to provide for such services;
Neither these Terms nor any Content, materials, or features of this Site create any partnership, joint venture, employment, or other agency relationship between us. You may not enter into any contract on our behalf or bind us in any way.
You agree not to attempt to damage, deny service to, hack, crack, reverse-engineer, disrupt, attack, flood, spam, or otherwise interfere in any way (“Interfere”) with the operation of the Site or related information systems. If you interfere with the Site or its operation in any way, you agree to pay all damages incurred by OKVEGAN and its licensors or providers, including any consequential damages that result from the Interference. Your Interference with the Site is a material breach of these Terms. It relieves OKVEGAN of any of its contractual or other legal obligations to you, including the obligations of OKVEGAN (including its confidentiality obligations) under these Terms or any other agreement between you and OKVEGAN related to this Site. OKVEGAN will cooperate with authorities in prosecuting anyone who interferes with the Site or attempts to defraud any person through the Site or the information obtained from the Site. YOU AGREE NOT TO CIRCUMVENT OR FACILITATE A THIRD PARTY IN THE CIRCUMVENTION OF ANY OF THE SITE’S PRIVACY OR SECURITY MEASURES.

Compliance with Laws

You agree that you will find only this Site and OKVEGAN in a manner consistent with all applicable local, state, national, and international laws and regulations, including, but not limited to, the United States export control laws. As a registered user, you agree that (i) you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods, (ii) not located in a country other than the United States; (iii) identified as a “Specially Designated National,” or (iii) placed on the Commerce Department’s Table of Deny Orders. Membership in, and use of, OKVEGAN is void where prohibited. To the extent that OKVEGAN is not legal in your jurisdiction, you may not use it.

Intellectual Property

OKVEGAN and its logo are trademarks of OKVEGAN. All other trademarks are property of OKVEGAN unless otherwise designated or clearly implied herein as belonging to third parties. Nothing contained on the Site shall be construed as granting by implication, estoppel, or otherwise any license or right under any patent, trademark, copyright (except as expressly stated above), or proprietary rights of OKVEGAN or any third party.

All text, information, images, graphics, data, code, and other content or materials on the Site, including their arrangement on the Site, are subject to patent, copyright, trademark, and other intellectual property rights of OKVEGAN its subsidiaries, affiliates, or licensors. These materials may not be used, made, offered for sale, modified, enhanced, improved, copied, transmitted, reproduced, sold, distributed, displayed, downloaded, licensed, published, used to create a derivative work, or reposted to other websites without the express written permission of OKVEGAN. Systemic retrieval of data or other content from this Site to create or compile a collection, database, or compilation without prior written permission from OKVEGAN is strictly prohibited.

The Site, including this page, may contain other proprietary notices and copyright information, the terms of which must be observed and followed. Certain images and information on the Site may be the copyright or trademark of third parties, and any use is subject to the terms and conditions of such third parties.

Third-Party Content

The Site may contain images, videos, descriptions, prices, discounts, inventory, and other advertising information, availability information, news releases, articles, photos, information, or other content provided by third parties or which you may post or submit (“Third Party Content”). Third-Party Content is provided for informational use only and should not be considered accurate, current, complete, reliable, or in any way verified by OKVEGAN. OKVEGAN does not guarantee and assumes no responsibility for Third Party Content's accuracy, including, but not limited to, images, videos, descriptions, reviews, ratings, prices, discounts, and availability information. Changes to the Site

OKVEGAN may, at any time, update, discontinue, or otherwise modify the Site or your access to the Site. Changes to the Site may render prior versions of the Site obsolete. You may choose to accept or decline any changes to the Site by continuing or discontinuing your use of the Site. Your continued use of the Site following any changes will constitute your acknowledgment and agreement to such changes

OKVEGAN may change these Terms from time to time by posting a revised version of these Terms, or by any other method permitted by law, without notice to You. Use of this Site by You after revised Terms have been made available means you accept the revised Terms. You should regularly review these Terms for any changes or additional terms.

No Warranties

THE SITE AND ANY APPLICATIONS, SERVICES, MATERIALS, CONTENT, OR INFORMATION CONTAINED WITHIN OR MADE AVAILABLE ON THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, OKVEGAN DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM THE COURSE OF DEALING OR PERFORMANCE.

OKVEGAN DOES NOT PROMISE AND MAKES NO WARRANTY THAT: (a) THE FUNCTIONS OF THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (b) ANY INFORMATION CONTAINED ON, RESULTS THAT MAY BE OBTAINED FROM THE USE OF, OR OTHER ASPECT OF THE SITE WILL BE ACCURATE, CURRENT, COMPLETE OR RELIABLE. YOU (AND NOT OKVEGAN) ASSUME THE ENTIRE RISK OF ANY RELIANCE ON THE SITE OR ANY INFORMATION PROVIDED THEREIN. Limitation of Liability

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, PRODUCTS, AND SERVICES PROMOTED ON THE SITE, SITE CONTENT, USER POSTINGS, FEEDBACK, OR ANY OTHER SITE-RELATED INFORMATION IS TO STOP USING THE SITE AND/OR THOSE PRODUCTS, SERVICES, MATERIALS, OR INFORMATION.

Indemnity

You agree to indemnify, defend and hold OKVEGAN and its subsidiaries, affiliates, and the respective officers, directors, agents, partners, sponsors, employees, and independent contractors of each harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of the content of your postings on the Site, your use of the Site or reliance upon any information provided thereon, your connection to the Site, your violation of these Terms and applicable law, your use or prohibited resale of any products or services purchased through OKVEGAN or via this Site, your violation of any rights of another party, or any other improper use of the Site or OKVEGAN. This provision shall survive the expiration or termination of these Terms.

Confidential Information

"Confidential Information" shall mean the nonpublic and/or proprietary information disclosed by OKVEGAN, including without limitation all forms and types of financial, business, scientific, technical, economic, or engineering information of OKVEGAN. You agree to keep all Confidential Information acquired from OKVEGAN, whether in connection with your use of the Site or otherwise, confidential. You shall not use the Confidential Information except as expressly provided herein, and you shall not disclose the Confidential Information without express prior written permission from OKVEGAN. All Confidential Information shall remain the property of OKVEGAN and shall not in any manner be deemed licensed or transferred to you. You shall promptly return or destroy all Confidential Information, as directed by OKVEGAN, upon the termination of these Terms, upon the termination of your rights to use the Site, or upon the termination of the access agreement or lender agreement under which you are authorized to use the Site.

You shall comply with all privacy and data protection laws, rules, and regulations which are or which may in the future apply to your use of the Site or any applications, data, or information provided on or through the Site. Without limiting the generality of the foregoing sentence, you agree that you will not use or disclose any other party any nonpublic personal information you receive in connection with these Terms or through the Site, except as expressly permitted in these Terms or by applicable law.

You acknowledge and agree that: (a) irreparable injury will result to OKVEGAN in the event of a breach by you of this obligation of confidentiality, (b) OKVEGAN's remedy at law for such breach is inadequate and (c) OKVEGAN, in addition to any monetary damages for any such breach, shall be entitled to temporary and permanent injunctive relief without the necessity of proving damages, and that OKVEGAN shall not be required to post bond as a condition of such relief. This provision shall survive the expiration or termination of these Terms and any applicable access agreement, lender agreement, or other agreement between OKVEGAN and the party that authorized you to use the Site.

Compliance with Applicable Laws

You agree to comply with all applicable state and federal laws and regulations. You agree to indemnify OKVEGAN against all claims, demands, actions, and or proceedings alleging a violation of state or federal law or regulation arising out of your use of the Site, including any postings you make on the Site.

You expressly understand and acknowledge that information communicated via the Site shall not include information about individual customers or consumers which constitutes “Non-Public Personal Information” as such information is defined in Title V of the Federal Gramm-Leach-Bliley Act, the CFPB Regulations promulgated pursuant thereto, 12 CFR §1016, and any similar state privacy laws or regulations (collectively, the “Privacy Act and Regulations”). Use and disclosure of any Non-Public Personal Information on the Site is prohibited.

Governing Law and Jurisdiction

Your access and use of this Site is subject to all applicable federal, state, and local laws and regulations. Unauthorized access, use, or disclosure of this Site or its contents is prohibited, and violators may be subject to liability under applicable law. The State of Florida and federal laws will govern the interpretation and enforcement of these Terms.

You agree that any legal lawsuit or other action brought by you, OKVEGAN, or any third party concerning these Terms or this Site shall be subject only to the jurisdiction of the state or federal courts in the State of Florida, and you hereby expressly waive any challenge to the jurisdiction or venue of such courts.

Severability

If any provision of this Agreement is void or unenforceable in any jurisdiction, such ineffectiveness or unenforceability shall not affect the validity or enforceability of such provision in another jurisdiction or any other provision in that or any other jurisdiction.

Other Agreements

Your use of this Site is subject to any additional agreements that you or your employer may have with OKVEGAN or any of its affiliates, including but not limited to any agreements relating to retail installment sales contracts. The terms of those agreements still apply, and acceptance of these Terms shall not be considered a modification or limitation of those other agreements.
